This document is frequently required for international business transactions, opening foreign bank accounts, authorizing overseas contracts, establishing branch offices abroad, and validating company authority in foreign jurisdictions. A Certificate of Incumbency may also be called:

When used outside the United States, many countries require the Certificate of Incumbency to be apostilled or legalized for it to be recognized as valid.
